Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the ELION AI website, platform, and related services (collectively, the “Services”) operated by ELION AI (“ELION AI,” “we,” “us,” or “our”). By creating an account, starting a trial, or otherwise using the Services, you agree to be bound by these Terms.
1. Eligibility & Accounts
You must be at least 18 years old and authorized to act on behalf of the business you represent. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately of any unauthorized use.
2. The Services
ELION AI provides an AI-powered fleet intelligence platform for executive transportation companies, including fuel analytics, driver scoring, route optimization, maintenance reminders, and related tools. We may add, modify, or discontinue features at any time to improve the Services.
3. Trials, Plans & Billing
We offer subscription plans billed per vehicle per month, and may offer free trials. By starting a paid plan you authorize us and our payment processor (Stripe) to charge your payment method on a recurring basis until you cancel.
- Subscriptions renew automatically at the end of each billing period unless cancelled beforehand.
- Fees are stated exclusive of applicable taxes, which you are responsible for.
- Except where required by law, payments are non-refundable for partial billing periods.
- We may change pricing with reasonable prior notice; changes apply to the next billing cycle.
4. Acceptable Use
You agree not to misuse the Services. You may not:
- Access or use the Services to build a competing product, or reverse-engineer any part of the platform.
- Upload unlawful, infringing, or malicious content, or attempt to breach our security.
- Resell, sublicense, or share access with parties outside your organization without our consent.
- Use the Services in violation of any applicable law or third-party rights.
5. Your Data
You retain all rights to the fleet, vehicle, driver, and operational data you submit (“Customer Data”). You grant us a limited license to process Customer Data solely to provide and improve the Services. Our handling of personal data is described in our Privacy Policy.
6. Intellectual Property
The Services, including all software, models, designs, and content (excluding Customer Data), are owned by ELION AI and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to use the Services during your subscription.
7. Third-Party Services
The Services may integrate with third-party tools (such as fuel-card providers, scheduling systems, and payment processors). Your use of those integrations is subject to the respective third party’s terms, and we are not responsible for their services.
8. Disclaimers
The Services are provided “as is” and “as available.” Recommendations, savings estimates, and analytics are provided for informational purposes and do not guarantee specific results. To the fullest extent permitted by law, we disclaim all warranties, express or implied.
9. Limitation of Liability
To the maximum extent permitted by law, ELION AI will not be liable for any indirect, incidental, or consequential damages, or for lost profits or data. Our total liability for any claim relating to the Services will not exceed the amounts you paid to us in the twelve months preceding the claim.
10. Termination
You may cancel at any time from your account settings. We may suspend or terminate access if you breach these Terms or fail to pay fees. Upon termination, your right to use the Services ends, and we may delete Customer Data after a reasonable retention period.
11. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will provide notice through the Services or by email. Your continued use after changes take effect constitutes acceptance.
12. Governing Law
These Terms are governed by the laws of the State of California, without regard to its conflict-of-law rules. Any disputes will be resolved in the state or federal courts located in San Francisco, California.
